Welcome to Euclid Learning ("Euclid," "we," "our," or "us"), a trade name of Euclid Solutions, LLC. Euclid is a comprehensive educational platform for parents with kids who have ADHD. Our mission is to help every ADHD parent help their child navigate life with ADHD by offering a diverse range of products, technologies, and services (collectively referred to as our "Services") to individuals, families, businesses, and organizations (our valued "Customers"). This document describes the terms and conditions under which we offer our Services to you (the “Terms and Conditions”). The term "you" in this document refers to consumers who interact with our Services and visitors to our Website, including you, the reader of these Terms and Conditions.

By registering for a Euclid account, or utilizing any of our Services, you agree to be legally bound by these Terms and Conditions, including any additional terms, conditions, or policies referenced herein or available by hyperlink. These Terms serve as a binding legal agreement between you and Euclid, so it is important to read them carefully.

If you do not agree with all of these Terms and Conditions, you are not authorized to use any Euclid services or place an order on EuclidLearning.com. By accepting these Terms and Conditions, you represent that you are at least 18 years old and you have given us your consent to allow any of your minor dependents to use this site.

The services offered by Euclid are subject to acceptance of these Terms and Conditions. Euclid reserves the right to update, change or replace any part of these Terms by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website and/or Euclid services following the posting of any changes constitutes acceptance of those changes.

Euclid offers a comprehensive suite of educational services for parents. Our offerings include, but are not limited to:

  1. Educational Content and Resources: Access to a wide range of ADHD parenting content, including courses, lessons, interactive tools, worksheets, and other learning materials designed to cater to various learning styles and levels. Our curriculum is described in more detail below.

  2. User Accounts: User accounts for euclidlearning.com, which enable you to save payment information, save contact information, and more.

Euclid is committed to continually expanding and improving our services to meet the evolving needs of our community. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. Users will be notified of significant changes to services, terms, conditions, or policies that may affect their use of Euclid.

By using Euclid’s services, you acknowledge and agree that the services are provided on an "as is" and "as available" basis. While we strive to provide a high-quality, impactful educational experience, Euclid makes no guarantees regarding the continuous availability of any particular service or resource.

2. User Responsibilities

As a user of Euclid, you play a crucial role in maintaining the integrity and effectiveness of our educational environment. Your responsibilities include:

  1. Account Integrity: You must provide accurate and complete registration information. Safeguard your account details and accept all activities under your account.

  2. Respectful Interaction: Engage with the community, including students, parents, educators, and teaching assistant chats, in a respectful and constructive manner. Harassment, bullying, or any form of discrimination will not be tolerated.

  3. Appropriate Use of Resources: Utilize Euclid’s educational content, tools, and services for personal, non-commercial educational purposes only. Any misuse, such as distributing copyrighted materials or using the platform for unauthorized commercial activities, is prohibited.

  4. Compliance with Policies: Follow all additional policies and guidelines provided by Euclid, including our Privacy Policy, as well as all policies governed by our vendors and partners, defined below. Your use of the platform signifies your agreement to these policies.

  5. Feedback and Reporting Issues: Contribute to the improvement of Euclid by providing constructive feedback and reporting any issues, errors, or inappropriate content you encounter.

By adhering to these responsibilities, you contribute to a safe, supportive, and productive learning community on Euclid.

At Euclid, safeguarding the privacy of young learners is a priority. We adhere to the Children’s Online Privacy Protection Act (COPPA), as amended, which governs the collection of personal data and other information from children under the age of 13.

NO MINOR UNDER 18 IS ALLOWED TO USE, PURCHASE, OR SUBSCRIBE TO THE EUCLID SERVICES WITHOUT PARENTAL CONSENT.

3. Intellectual Property

All content provided by Euclid, including but not limited to text, graphics, logos, images, as well as the compilation thereof, and any software used on the site, is the property of Euclid or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such content and will not make any changes thereto.

You are granted a non-exclusive, non-transferable, revocable license to access and use Euclid strictly in accordance with these Terms and Conditions. As a condition of your use of the site, you warrant to Euclid that you will not use the content for any purpose that is unlawful or prohibited by these Terms. You may not use the content in a manner that could damage, disable, overburden, or impair the site or interfere with any other party's use and enjoyment of the site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the site.

All rights not expressly granted herein are reserved by Euclid.

4. Subscription Term and Automatic Renewals

Your subscription to Euclid membership services begins on the date of your initial payment and continues for the subscription period selected (monthly or annually). The specific start and end dates of your subscription are detailed in your account settings on our website.

Automatic Renewals

To ensure uninterrupted access to our services, Euclid subscriptions automatically renew at the end of each subscription period. Monthly subscriptions renew each month on the date of initial subscription. Annual subscriptions renew each year on the same date.

  • Monthly Subscribers: Your payment method will be automatically charged at the start of each new monthly period.

  • Annual Subscribers: Your payment method will be automatically charged at the start of each new annual period.

To cancel automatic renewal, you must adjust your subscription settings at least 1 day before your renewal date. If you cancel, your subscription will continue until the end of the current billing cycle.

Membership price lock-ins referenced on our membership signup mean we lock in your membership fee, but your total recurring fees are subject to sales tax changes.

5. Limitation of Liability, Disclaimer, and Indemnification

Limitation of Liability

To the maximum extent permitted by law, Euclid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the services; (b) any conduct or content of any third party on the services; (c) any content obtained from the services; and (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not Euclid has been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.

Disclaimer

Euclid and its service are provided on an "AS IS" and "AS AVAILABLE" basis. Euclid and its affiliates, licensors, and service providers expressly disclaim all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Euclid does not warrant that the service will be uninterrupted, timely, secure, or error-free, or that any errors will be corrected.

Indemnification

Users agree to indemnify and hold harmless Euclid, its affiliates, officers, agents, employees, and partners from any claim, demand, loss, or damages, including reasonable attorneys' fees, made by any third party due to or arising out of your use of Euclid’s services, your violation of the Terms and Conditions, or your violation of any rights of another.

6. Charges, Payment, and Taxes

Fees

Customers purchasing Euclid services agree to the rates listed on our website at the time of purchase.

Payment Terms

Payments are made using a credit card on file, charged according to the cadence and rate outlined for each Euclid service.

Taxes

Prices exclude applicable taxes, which the customer is responsible for paying. Euclid is indemnified against such taxes, excluding those on its net income or profits.

Refunds

All sales at Euclid are final. We reserve the right to make exceptions from time to time, and at our sole discretion.

7. Third-Party Software and Services

Euclid integrates with a variety of third-party software vendors and cloud service providers, including but not limited to AWS, Heroku, Twilio, Amplitude, and Squarespace to deliver a robust and reliable educational and shopping experience. These partnerships ensure our platform operates smoothly, securely, and efficiently, supporting the diverse needs of our users. By using Euclid’s services, you acknowledge that your information may be processed and stored by external services in accordance with their respective privacy policies and terms.

8. Support and Customer Service

Euclid is committed to providing exceptional support to our users. Our goal is to provide responses within 1 day to ensure your concerns are addressed promptly and your experience with Euclid remains positive. 9. Force Majeure

Euclid shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Euclid’s reasonable control, including, without limitation, mechanical, electronic, or communications failure or degradation (including "force majeure" events such as natural disasters, emergencies, acts of God, wars, shortages, governmental actions, or any other situation that renders performance impracticable).

10. Miscellaneous Provisions

Partial Invalidity

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

Survival

Provisions of these Terms and Conditions that by their nature should survive termination will remain in effect after any termination of agreement, including, but not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Assignment

You may not assign or transfer these Terms and Conditions, by operation of law or otherwise, without Euclid’s prior written consent. Any attempt by you to assign or transfer these Terms and Conditions, without such consent, will be null and void.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the state of Delaware, without giving effect to any principles of conflicts of law.
